HypeBox Club Blind Box & Collectible Toys Legal Disclaimer

This Legal Disclaimer (the “Disclaimer”) governs all purchases, interactions, and transactions made through HypeBox Club’s official Shopify store (the “Store”) for blind boxes, collectible toys, and related merchandise (collectively, the “Products”). By accessing the Store, browsing Products, or placing an order with HypeBox Club (the “Seller”), you (the “Customer”) acknowledge and agree to be bound by this Disclaimer, as well as Shopify’s Terms of Service, Acceptable Use Policy (AUP), and all applicable local, national, and international laws and regulations. This Disclaimer constitutes a legally binding agreement between the Seller and the Customer, designed to protect both parties’ rights and clarify responsibilities in compliance with global e-commerce standards and blind box business regulations.

1. Intellectual Property Rights

All intellectual property rights associated with the Store, Products, and HypeBox Club brand—including but not limited to trademarks, logos, copyrights, designs, product images, text, blind box series concepts, and collectible toy designs—are exclusively owned by HypeBox Club or its authorized licensors. These rights are protected by international intellectual property laws and global treaties, and the Seller strictly adheres to regulations prohibiting intellectual property infringement in blind box operations[4]. The Customer agrees not to reproduce, distribute, modify, copy, reverse-engineer, or use any of these intellectual property assets in any way without the express written permission of HypeBox Club.

HypeBox Club warrants that all Products sold through the Store are legally sourced, do not infringe upon any third-party intellectual property rights (including trademarks, copyrights, or design patents), and are either independently designed by the Seller or sold with valid authorization from the intellectual property owner—effectively preventing counterfeiting or unauthorized use of popular IPs in blind boxes. The Seller shall not be liable for any claims, damages, legal costs, or penalties arising from the Customer’s misuse of the Products, unauthorized use of HypeBox Club’s intellectual property, or purchase of counterfeit items misrepresented as HypeBox Club Products. It is the Customer’s responsibility to verify the authenticity of Products and avoid engaging in any activity that may constitute intellectual property infringement.

2. Product Compliance & Safety

All HypeBox Club Products are designed and manufactured in compliance with applicable safety standards and regulations for collectible toys and blind boxes, including but not limited to ASTM F963 (U.S.), EN71 (EU), CPSIA (U.S.), and relevant local safety requirements for materials, dyes, and small parts. The Seller ensures that all Products meet quality standards and are free from defects in materials and workmanship at the time of shipment, and strictly prohibits selling prohibited items in blind box form. For Products intended for children (12 years old and below), the Seller complies with additional safety requirements, including lead content limits, phthalate restrictions, and tracking label requirements as mandated by CPSC regulations.

Product descriptions, images, and blind box assortment information on the Store are provided for reference only. While the Seller makes every effort to ensure accuracy, slight variations in color, detail, or design may occur due to manufacturing processes, lighting, or display settings. The Customer acknowledges that such minor variations do not constitute a defect. For blind boxes, the random nature of the assortment is a core feature— the Seller does not guarantee the receipt of specific styles (including “hidden” or “limited-edition” styles), and the Customer agrees that the random assortment does not constitute a basis for return or refund unless the Product is defective. The Seller shall not be liable for any injuries, damages, or losses resulting from improper use of the Products, failure to follow care instructions, or non-compliance with local safety regulations. For Products containing small parts, appropriate choking hazard warnings are displayed on packaging and product pages in accordance with safety standards.

3. Order Terms & Obligations

By placing an order through the Store, the Customer represents and warrants that: (a) they are of legal age to enter into a binding contract (18 years or older, or with parental/guardian consent if purchasing products intended for minors); (b) all information provided during checkout (including name, address, payment details, and contact information) is accurate and complete; (c) they have the legal right to use the payment method provided; (d) they will comply with all import/export laws and regulations of their destination country regarding the purchase and receipt of the Products; and (e) they understand and accept the random assortment nature of blind boxes, and will not hold the Seller liable for failure to receive a specific style.

The Seller reserves the right to cancel any order that violates this Disclaimer, Shopify’s policies, or applicable laws—including but not limited to orders with incorrect payment information, orders suspected of fraud, orders destined for regions with prohibited import regulations, or orders that violate blind box经营 norms. In such cases, the Seller will issue a full refund for the Product and shipping cost (if applicable) and notify the Customer of the cancellation. The Seller also reserves the right to limit order quantities per customer for limited-edition blind boxes to prevent hoarding and ensure fair access for all customers.

4. Limitation of Liability

To the fullest extent permitted by applicable law, HypeBox Club shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of use, loss of profit, damage to other property, emotional distress, or loss of collection value) arising from the purchase, use, or inability to use the Products, or any interactions with the Store. This includes damages caused by delays in shipping, product variations, customs issues, third-party errors (e.g., shipping carriers, payment processors), or dissatisfaction with the random assortment of blind boxes.

The Seller’s total liability for any claim related to the Products or transactions through the Store shall be limited to the total purchase price of the Products in question. The Seller shall not be liable for any damages resulting from factors beyond its reasonable control, including but not limited to natural disasters, geopolitical issues, carrier disruptions, customs delays, changes in applicable laws, or supply chain disruptions affecting blind box production. The Seller is not liable for minor packaging wear that does not affect the Product itself or its functionality.

5. Indemnification

The Customer agrees to indemnify, defend, and hold harmless HypeBox Club, its officers, employees, affiliates, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) the Customer’s violation of this Disclaimer, applicable laws, or Shopify’s policies; (b) the Customer’s misuse of the Products or intellectual property; (c) the Customer’s failure to comply with import/export regulations; (d) any third-party claim related to the Customer’s purchase or use of the Products; (e) the Customer’s provision of inaccurate or misleading information during checkout; or (f) the Customer’s improper resale of Products that violates intellectual property or blind box经营 regulations.

6. Privacy & Data Protection

HypeBox Club complies with Shopify’s data protection guidelines and applicable privacy laws, including the General Data Protection Regulation (GDPR) for EU customers and the California Consumer Privacy Act (CCPA) for U.S. customers. The Seller collects, uses, and stores the Customer’s personal information (e.g., name, address, email, payment details) solely for the purpose of processing orders, facilitating shipping, providing customer support, and notifying customers of blind box releases or promotions. The Seller will not share, sell, or disclose the Customer’s personal information to third parties without the Customer’s express consent, except as required by law or to fulfill order obligations (e.g., sharing address information with shipping carriers). The Customer acknowledges and agrees to the Seller’s collection and use of their personal information as outlined in this Disclaimer and the Store’s Privacy Policy, in compliance with global data protection standards.

7. Blind Box-Specific Terms

The Customer acknowledges that blind boxes are sold as random assortments, and the Seller does not guarantee the inclusion of any specific character, style, or “hidden” edition in any order. The odds of receiving each style (including hidden editions) are clearly displayed on each blind box product page, in compliance with regulations requiring transparency in blind box assortment probabilities. The Seller does not offer exchanges or refunds for opened blind boxes based on dissatisfaction with the assortment, unless the Product is defective, damaged, or incorrect. Unopened blind boxes may be returned only if they are in their original, unaltered condition, and the return request is submitted within 7 business days of receipt.

The Seller strictly prohibits any form of gambling or illegal activities associated with blind box purchases, and the Customer agrees not to use blind boxes for any such purposes in compliance with applicable laws and regulations.

8. Governing Law & Dispute Resolution

This Disclaimer shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles. Upon request, the Seller may provide relevant documentation (excluding sensitive commercial information) to assist the Customer with customs clearance or regulatory inquiries.
